Welcome to SoClip ("Platform", "Service"), operated by SOCLOSE PTE. LTD. ("Company", "we", "us", "our"), a company incorporated in Singapore under UEN 202555665W, with its registered office at 7 Temasek Boulevard #12-07, Suntec Tower One, Singapore 038987.

By accessing or using SoClip at https://soclip.pro, you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Definitions

  • "Content" means any video, audio, image, text, or other material uploaded to, generated by, or otherwise processed through the Platform.
  • "Credits" means the virtual units used to access paid features of the Service.
  • "Output" means any clip, subtitle file, or other media generated by the Platform from your Content.
  • "Subscription" means a recurring paid plan granting access to premium features and a monthly credit allocation.

2. Eligibility

You must be at least 16 years old to use SoClip. By registering, you represent that you meet this age requirement. If you are between 16 and 18, you confirm that a parent or legal guardian has consented to your use of the Service.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You must notify us immediately at contact@soclip.pro of any unauthorized access.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Use of the Service

4.1 Permitted Use

SoClip is an AI-powered video clipping platform. You may use the Service to upload videos, generate short clips, add subtitles, and export content for personal or commercial use, subject to these Terms.

4.2 Prohibited Use

You agree not to:

  • Upload content that you do not own or have the right to use;
  • Use the Service to create, distribute, or promote illegal, defamatory, hateful, violent, or sexually explicit content;
  • Attempt to reverse-engineer, decompile, or hack the Platform;
  • Use automated bots, scrapers, or other tools to access the Service beyond normal usage;
  • Resell, sublicense, or redistribute the Service without our written consent;
  • Circumvent usage limits, credit systems, or security measures;
  • Impersonate another person or entity.

5. Intellectual Property

5.1 Your Content

You retain full ownership of Content you upload. By using SoClip, you grant us a limited, non-exclusive, worldwide license to process your Content solely for the purpose of providing the Service. We do not claim ownership of your Content or Outputs.

5.2 Our Platform

The SoClip platform, including its software, design, algorithms, branding, and documentation, is the exclusive property of SOCLOSE PTE. LTD. and is protected by intellectual property laws. You may not copy, modify, or create derivative works from the Platform.

5.3 Outputs

You own the Outputs generated from your Content. However, we do not guarantee that Outputs will be free of third-party intellectual property claims. You are solely responsible for ensuring your use of Outputs complies with applicable laws.

6. Credits and Payments

6.1 Free Credits

New accounts receive 100 free credits. Free credits are non-transferable and may expire as specified in our pricing page.

6.2 Paid Plans

Subscriptions are billed monthly or annually through Stripe, Inc. Prices are displayed in USD and may be subject to applicable taxes. You authorize recurring charges for your selected plan.

6.3 Refund Policy

Due to the digital nature of the Service:

  • Credits already consumed are non-refundable.
  • If you cancel a Subscription, you retain access until the end of the billing period. No partial refunds are issued.
  • Refund requests for unused credits on annual plans may be considered on a case-by-case basis within 14 days of purchase by contacting contact@soclip.pro.

6.4 Price Changes

We may change pricing with at least 30 days' notice. Continued use after the new pricing takes effect constitutes acceptance.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using SoClip, you consent to the collection and processing of data as described therein.

8. Content Storage and Deletion

  • Uploaded videos and generated clips are stored temporarily to provide the Service.
  • We reserve the right to delete Content after 30 days of inactivity on free accounts.
  • You may delete your Content at any time from your account dashboard.
  • Upon account deletion, all associated Content will be permanently removed within 30 days.

9. Service Availability

  • SoClip is provided on an "as-is" and "as-available" basis.
  • We do not guarantee uninterrupted or error-free service.
  • We may suspend the Service for maintenance, updates, or security reasons with reasonable notice when possible.
  • We are not liable for any loss resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law:

  • SOCLOSE PTE. LTD. shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not responsible for the content, accuracy, or legality of any Content you upload or Output you generate.

11. Indemnification

You agree to indemnify and hold harmless SOCLOSE PTE. LTD., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any third-party rights, including intellectual property rights;
  • Any Content you upload or Output you distribute.

12. Termination

  • You may close your account at any time from your Settings page or by emailing account.deletion@soclip.pro.
  • We may suspend or terminate your account if you violate these Terms, with or without notice.
  • Upon termination, your right to use the Service ceases immediately. Sections 5, 10, 11, and 14 survive termination.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the Platform at least 15 days before the changes take effect. Continued use after changes take effect constitutes acceptance.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore. Any dispute arising from these Terms shall be resolved by the courts of Singapore, unless mandatory consumer protection laws of your jurisdiction require otherwise.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and SOCLOSE PTE. LTD. regarding the Service.
